These Terms of Service govern your access to and use of the Medtrix healthcare platform. By using our Platform, you enter into a legally binding agreement with Medtrix Limited. Please read these terms carefully — they include important information about your rights, obligations, and limitations regarding the use of health record management and telemedicine services.

1. Acceptance of Terms

By creating an account, accessing, or using any services provided by Medtrix Limited ("Medtrix", "we", "us", "our") — including the website (medtrix.io), mobile applications, USSD services, APIs, and all related features (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Medtrix. If you do not agree with any provision, you must immediately stop using the Platform and delete your account. If you are using the Platform on behalf of a healthcare facility, organization, or employer, you represent that you have the authority to bind that entity to these Terms.

2. Platform Description

Medtrix is a healthcare technology platform that provides: • Electronic Health Records (EHR): Secure digital storage, organization, and management of patient medical records including diagnoses, treatments, medications, allergies, lab results, immunization histories, and vital signs • Doctor-Patient Consultations: Voice call consultations between licensed doctors and patients, with integrated medical notes, prescriptions, and referrals • Healthcare Facility Management: Tools for hospitals, clinics, and medical practices to manage patients, staff, departments, appointments, and facility operations • USSD Access: Phone-based access to health records and services for users without internet connectivity • Patient Portal: Self-service access for patients to view health records, book consultations, manage dependents, and communicate with providers • Payment Processing: Secure consultation fee payments and doctor payout settlements • Medical Staff Coordination: Role-based tools for doctors, nurses, pharmacists, lab technicians, and administrative staff We reserve the right to modify, suspend, or discontinue any feature or service at any time with reasonable notice. We will notify registered users of material changes via email.

3. Account Types & Eligibility

The Platform supports the following account types, each with specific requirements: Patient Accounts • Must be 18 years or older (parents/guardians may create accounts for minors) • Must provide accurate personal information including name, email, phone number, and date of birth • Responsible for the accuracy of all health information entered Doctor Accounts • Must hold a valid, active medical license in their jurisdiction of practice • Must complete identity verification and credential review before activation • Must provide bank account details for consultation payout settlements • Subject to approval by Medtrix administrators Facility Accounts (Facility Administrators) • Must represent a registered healthcare facility (hospital, clinic, or medical practice) • Must provide facility registration documentation • Authorized to manage facility staff, patients, departments, and settings Staff Accounts (Nurses, Lab Technicians, Pharmacists, Administrative Staff) • Created by Facility Administrators • Access is role-based and limited to functions relevant to their position • Must hold valid credentials for clinical roles All Users • You are responsible for maintaining the security of your account credentials • You must not share your login credentials with any other person • You must immediately notify us of any unauthorized access to your account • You must not create multiple accounts for the same person

4. Medical Disclaimer

IMPORTANT: Medtrix is a technology platform and does NOT provide medical advice, diagnoses, or treatment. • All medical services delivered through the Platform are provided by independent licensed healthcare professionals, not by Medtrix • The Platform facilitates the connection between patients and healthcare providers but does not practice medicine • Health records stored on the Platform are provided by users and healthcare providers — Medtrix does not verify the clinical accuracy of medical records • The Platform is NOT a substitute for emergency medical services. In a medical emergency, call your local emergency number immediately • Doctor recommendations, prescriptions, and medical notes issued through consultations are the sole responsibility of the issuing healthcare provider • Medtrix does not endorse, recommend, or guarantee any specific doctor, facility, treatment, or medication

5. Electronic Health Records

By using the Platform, you agree to the following regarding electronic health records (EHR): Record Accuracy • You are responsible for ensuring the accuracy of health information you enter or provide • Healthcare providers are responsible for the accuracy of clinical notes, diagnoses, and treatment records they create • You should review your records regularly and report inaccuracies promptly Record Ownership • Patients retain ownership of their personal health information • Healthcare providers retain ownership of clinical notes and professional observations they create • Medtrix does not claim ownership of any health records stored on the Platform Record Access & Sharing • Access to health records is controlled through role-based permissions • Patients can view their own records and their dependents' records • Doctors can access records of patients they are actively treating or consulting • Facility staff can access records within their facility according to their role • You may grant or revoke access to specific providers at any time Record Retention • Health records are retained in accordance with applicable healthcare regulations (minimum 7 years) • Account deletion does not immediately erase health records where legal retention requirements apply • See our Privacy Policy for detailed retention schedules

6. Consultations

Doctor-patient consultations on the Platform are subject to these terms: Booking & Availability • Consultations are subject to doctor availability • Patients select an available doctor and time slot; the doctor may accept or decline • Medtrix does not guarantee that any specific doctor will be available During Consultations • Consultations are conducted via voice call using our integrated communication system • Doctors may create medical notes, prescriptions, and referrals during consultations • Patients should provide complete and honest information to ensure quality care • Both parties must conduct themselves professionally and respectfully Cancellations & No-Shows • Cancellation policies are set by individual doctors or facilities • Repeated no-shows may result in account restrictions • Refund eligibility for cancelled consultations is determined on a case-by-case basis Prescriptions & Referrals • Prescriptions issued through the Platform are the responsibility of the prescribing doctor • Patients are responsible for filling prescriptions at licensed pharmacies • Referrals to specialists or facilities are recommendations only

7. Payments, Fees & Refunds

Financial terms for Platform services: Patient Payments • Patient accounts are free to create and maintain • Consultation fees are set by individual doctors and displayed before booking • Payments are processed securely through Paystack (PCI DSS Level 1 compliant) • All fees are displayed in the applicable local currency before payment confirmation Doctor Payouts • Doctors receive consultation fees minus applicable platform service charges • Payouts are processed to the bank account registered during verification • Payout schedules and processing times may vary by region and payment provider Facility Subscriptions • Facility management features may require a subscription plan • Plan details, pricing, and billing cycles are displayed at the time of subscription • Facilities may upgrade or downgrade plans according to their needs Refunds • Refund requests for consultations must be submitted within 48 hours • Refunds are evaluated based on the specific circumstances (e.g., doctor no-show, technical failure) • Approved refunds are processed to the original payment method within 5-10 business days • Medtrix reserves the right to deny refund requests that do not meet our refund criteria Taxes • You are responsible for any applicable taxes on services purchased through the Platform • Medtrix will provide receipts and transaction records for your records

8. HIPAA & Data Handling

As a platform handling protected health information (PHI), we operate in accordance with HIPAA requirements: Our Obligations • We implement administrative, physical, and technical safeguards to protect PHI • We maintain comprehensive audit logs of all access to health records • We encrypt all PHI at rest (AES-256) and in transit (TLS 1.3) • We train our team on HIPAA compliance and data handling procedures • We will notify affected users within 72 hours in the event of a data breach Healthcare Provider Obligations • Doctors and facility staff using the Platform agree to handle patient data in compliance with HIPAA and applicable regulations • Providers must not access patient records except as necessary for treatment, payment, or healthcare operations • Providers must not download, copy, or export patient data except as permitted by their role and applicable law • Providers must report any suspected data breach or unauthorized access immediately Business Associate Agreements • Healthcare facilities using the Platform may request a Business Associate Agreement (BAA) as required by HIPAA • Our third-party service providers (Supabase, Google Cloud, Paystack, Twilio) maintain appropriate data handling agreements For full details on how we collect, use, and protect your data, see our Privacy Policy.

9. Acceptable Use

You agree NOT to: • Use the Platform for any unlawful purpose • Access health records of any person without authorization • Attempt to circumvent access controls or security measures • Share, sell, or distribute any patient data obtained through the Platform • Upload malicious software, viruses, or harmful code • Interfere with or disrupt the Platform's infrastructure • Impersonate another user, doctor, or facility • Use automated scripts, bots, or scrapers to access the Platform • Create accounts with false or misleading information • Use the Platform to harass, threaten, or harm any person • Reverse engineer, decompile, or attempt to extract the source code of the Platform • Use PHI for marketing, advertising, or any purpose unrelated to healthcare Violation of these terms may result in immediate account suspension or termination, and may be reported to relevant authorities.

10. Intellectual Property

Platform Ownership • The Platform, including its design, code, features, logos, trademarks, and documentation, is owned by Medtrix Limited and protected by intellectual property laws • "Medtrix" and the Medtrix logo are trademarks of Medtrix Limited User Content • You retain ownership of content you upload (health records, profile information, etc.) • By uploading content, you grant Medtrix a limited license to store, process, transmit, and display that content as necessary to provide the Platform's services • This license does not grant Medtrix ownership of your content Restrictions • You may not copy, modify, distribute, or create derivative works based on the Platform • You may not use Medtrix's trademarks or branding without prior written permission • Screenshots or reproductions of the Platform for commercial purposes require authorization

11. Account Suspension & Termination

Account Suspension We may suspend your account if: • You violate these Terms or our Acceptable Use policy • We detect suspicious or unauthorized activity on your account • Your professional credentials expire or are revoked (for healthcare providers) • We are required to do so by law or regulatory authority During suspension, you will not be able to access the Platform, but your data will be retained. Account Termination • You may request account termination at any time by contacting support@medtrix.com • We may terminate accounts for repeated or severe violations of these Terms • Upon termination, your personal data will be de-identified within 30 days, subject to legal retention requirements for health records (see Privacy Policy) • Outstanding financial obligations survive termination Post-Termination • Health records may be retained as required by law, even after account termination • You may request a copy of your data before termination • Access to consultation history, prescriptions, and medical notes may be provided upon verified request

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: • Medtrix provides the Platform "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied • We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components • We are not liable for the quality, accuracy, or outcomes of medical services provided by healthcare professionals through the Platform • Our total liability for any claims arising from your use of the Platform shall not exceed the total fees you have paid to Medtrix in the 12 months preceding the claim We shall NOT be liable for: • Medical outcomes, misdiagnoses, or treatment complications — these are the responsibility of the treating healthcare professional • Indirect, incidental, special, consequential, or punitive damages • Loss of data due to circumstances beyond our reasonable control • Service interruptions caused by third-party providers, force majeure events, or scheduled maintenance • Unauthorized access resulting from your failure to secure your account credentials Nothing in these Terms excludes liability for gross negligence, willful misconduct, or liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Medtrix Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of: • Your use of the Platform in violation of these Terms • Your violation of any applicable law or regulation • Any content you upload or submit to the Platform • Your negligence or willful misconduct • Any third-party claims arising from your use of the Platform Healthcare providers additionally agree to indemnify Medtrix against claims arising from their medical practice, including but not limited to malpractice claims, regulatory violations, and inadequate patient care.

14. Dispute Resolution

Governing Law These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Dispute Process • Informal Resolution: Before filing any formal claim, you agree to contact us at legal@medtrix.com to attempt informal resolution. We will work in good faith to resolve disputes within 30 days. • Mediation: If informal resolution fails, disputes will be submitted to mediation administered by a mutually agreed mediator. • Arbitration: If mediation fails, disputes will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. • Jurisdiction: For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria. Class Action Waiver You agree to resolve disputes individually. You waive any right to participate in a class action, class arbitration, or representative proceeding against Medtrix. Time Limitation Any claim arising from these Terms or your use of the Platform must be filed within one (1) year of the event giving rise to the claim, or the claim is permanently barred.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes: • We will post the revised Terms on this page with an updated "Last Updated" date • We will notify registered users via email at least 14 days before significant changes take effect • Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms • If you do not agree with the revised Terms, you must stop using the Platform and may request account deletion We encourage you to review these Terms periodically.

16. General Provisions

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and Medtrix regarding the Platform. No Waiver Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Assignment You may not assign or transfer your rights under these Terms. Medtrix may assign its rights without restriction. Force Majeure Medtrix is not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures. Notices Official notices to Medtrix must be sent to legal@medtrix.com. Notices to you will be sent to the email address associated with your account.
